About these terms

MacroDrivers™ is a trading name of Sach Capital Limited. Company No. 08869885. Registered Office: 124 City Road, London, EC1V 2NX, England. Sach Capital Limited ("we", "us", "our", "the Company") operates the MacroDrivers™ Affiliate Program (the "Programme"). By applying to or participating in the Programme, you ("you", the "Affiliate") agree to these Affiliate Terms ("Terms"). If you do not agree, do not apply or participate. These Terms are a legally binding agreement between you and Sach Capital Limited.

Eligibility and approval

Participation in the Programme is by application and approval only. We review each application individually and may approve, reject, or request additional information at our discretion. Approval creates an Affiliate Profile and assigns a unique affiliate code. Affiliate status is independent of any MacroDrivers membership entitlement and does not confer any administrative privileges. We may refuse an application without giving reasons.

Relationship

You are an independent contractor, not an employee, agent, partner, or representative of Sach Capital Limited. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. You are responsible for your own taxes, expenses, insurance, and compliance with all applicable laws, including the UK Advertising Codes (CAP Code) administered by the Advertising Standards Authority (ASA), the Consumer Protection from Unfair Trading Regulations 2008, and the Digital Markets, Competition and Consumers Act 2024.

Tracking and attribution

We use secure, signed first-party attribution. When a visitor clicks your referral link, we record a click and create a server-side attribution. If the visitor registers for a free account, the attribution is locked to their account server-side. Attribution is resolved using the configured attribution model (first-click or last-click). We do not rely solely on browser storage. The client cannot choose which affiliate is credited — attribution is resolved server-side.

Attribution priority

Attribution is resolved in the following order: (1) locked registered-user attribution, (2) current valid signed affiliate attribution, (3) valid affiliate-linked promotion code, (4) none. A later affiliate click cannot hijack an already locked registered-user attribution when lock-on-registration is enabled.

Commission calculation

Commissions are calculated based on eligible net collected revenue, defined as the paid subtotal minus discounts and excluded tax. Percentage commissions use basis points and integer arithmetic. Fixed commissions use integer pence amounts. Each commission snapshots the applicable commission rule at creation time — future rule changes do not mutate historical commissions. Live commission creation fails closed if no valid, configured, active commission rule exists for the plan tier.

Commission changes

We may change commission rates at any time by updating the commission rules. Changes apply prospectively to new conversions only. Existing commissions are not affected by rule changes.

Hold period

New commissions are placed in pending_hold status for the configured hold period (default 30 days). After the hold period, provided no refund or dispute has occurred, the commission becomes payable. Commissions associated with refunded or disputed conversions may be reversed or adjusted.

Refunds

If a customer receives a full refund, the related commission is reversed. For partial refunds, the commission is adjusted proportionally. If the commission was already paid, a negative balance adjustment is created to be offset against future payable commissions. No historical records are deleted.

Disputes and chargebacks

Where Stripe supplies dispute information, the related commission may be placed into a reversed or held state. If the commission was already paid, a negative affiliate ledger adjustment is created. The original record is preserved.

Payout threshold

Payable commissions accumulate until the minimum payout threshold is met. If the payable balance is below the threshold, commissions carry forward to the next payout cycle. Commissions are not discarded.

Manual payout process

Affiliate payouts are NEVER sent automatically. The payout process is: (1) qualifying commissions become payable after the hold period; (2) an Admin prepares a payout, grouping eligible payable commissions; (3) the system atomically reserves commissions to a single payout; (4) a Super Admin reviews and approves the payout — approval does NOT send money; (5) payment is made manually outside the MacroDrivers platform by the company's chosen external payment process; (6) a Super Admin records the payment as paid, entering the external transaction reference, payment date, and method. No Stripe Connect, automated bank transfer, PayPal, Wise, or any other automated payout mechanism is used or will be used.

Payout schedule

Payouts are processed according to the configured payout schedule (default monthly). You will receive an email when your payout is approved (awaiting manual processing) and another email when the payment is recorded as paid. The approval email does not constitute payment.

Taxes

You are responsible for declaring and paying any taxes applicable to your affiliate earnings, including income tax, corporation tax, and VAT where applicable. We may request tax-related information where required by law. We do not provide tax advice. You should seek independent professional tax advice if you are unsure of your tax obligations.

Affiliate responsibility for payment details

You are responsible for providing accurate and current payout contact information through your affiliate portal settings. Do not store full bank account numbers, card details, or sensitive credentials in the platform — provide only masked or reference information. If actual payment details must be exchanged, this is done through a secure manual operational process, not through the platform.

Self-referrals

Self-referrals are prohibited. A self-referral occurs when the affiliate and the purchaser are the same person, as determined by user ID, normalised email, or Stripe customer relationship. A self-referral will generate a fraud flag and zero commission. The purchase itself is allowed — the customer may still subscribe to MacroDrivers.

Misleading marketing

You must not make misleading claims about MacroDrivers, including: guaranteed profits, guaranteed returns, fabricated performance, get-rich-quick claims, representation of personal investment advice, misrepresentation as trade signals, nonexistent endorsements, or nonexistent regulatory approvals. All marketing must comply with the CAP Code, the Consumer Protection from Unfair Trading Regulations 2008, and the Digital Markets, Competition and Consumers Act 2024. Claims must be accurate, substantiated, and not misleading.

Spam and cookie stuffing

You must not send unsolicited commercial email (spam), use cookie stuffing or similar techniques to artificially set attribution cookies, or use any deceptive or fraudulent method to generate clicks, leads, or conversions. You must comply with the Privacy and Electronic Communications (EC Directive) Regulations 2003 (PECR) and the UK GDPR when sending marketing communications.

Disclosure

You must clearly disclose your affiliate relationship when promoting MacroDrivers, in accordance with the CAP Code and applicable consumer protection law. Approved disclosure wording is provided in the affiliate portal. Failure to disclose may result in suspension or termination.

Intellectual property and brand use

MacroDrivers™ and all associated branding, logos, and content are owned by or licensed to Sach Capital Limited. You receive a limited, revocable, non-transferable licence to use approved brand assets provided in the affiliate portal for the purpose of promoting MacroDrivers. You must not impersonate MacroDrivers, use the MacroDrivers brand in a domain name, or represent yourself as MacroDrivers.

Paid advertising restrictions

Branded paid-search bidding on MacroDrivers or related terms requires written permission from Sach Capital Limited. You may not bid on MacroDrivers branded keywords in paid search or advertising platforms without explicit written consent.

Impersonation

You must not impersonate MacroDrivers, its employees, or its representatives. You must not create social media accounts, domains, or other properties that could be confused with official MacroDrivers properties.

Suspension and termination

We may suspend or terminate your affiliate account at any time for violation of these Terms, fraudulent activity, or any conduct that we determine is harmful to the Programme or MacroDrivers. Suspension blocks new attribution and new commissions but preserves the historical ledger. Termination permanently ends your participation in the Programme.

Record corrections

If an Admin records a payment incorrectly, corrections are made through controlled adjustment workflows with audit logging. No historical records are silently edited. Every financial-state change is recorded in the audit log.

Privacy

Your affiliate application, profile, tracking data, conversions, commission ledger, and payout records are processed in accordance with our Privacy Notice. You have the right to access, export, and request correction of your personal data. Referred customer personal data is not shared with affiliates.

Programme changes

We may change these Affiliate Terms, commission rates, attribution settings, payout schedules, and other programme parameters at any time. Material changes to these terms will be notified. We may close the programme to new applications or suspend tracking at any time. Turning off commission generation does not erase existing commissions.

Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. You and Sach Capital Limited submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising out of or in connection with these Terms or the Programme.

We use essential local storage to operate MacroDrivers and remember your preferences. We also use Google Analytics (analytics) and affiliate attribution storage (marketing) — you can choose whether to allow each. Cookie & Storage Policy
